End-User License Agreement

Effective date: October 15, 2026

1. Parties and scope. This End-User License Agreement ("Agreement") is between Viva Insurance Group LLC, 4100 Lafayette Center Drive, Suite 100, Chantilly, VA 20151 ("Company," "we"), and each individual authorized by the Company to use VIVA MCP Finances (the "Application"). The Application is an internal tool for the Company and its affiliated companies. It is not offered for sale or to the public.

2. License. Subject to this Agreement, the Company grants you a limited, revocable, non-exclusive, non-transferable license to use the Application solely to perform your duties for the Company or its affiliates, while your authorization remains active.

3. Authorization and access. You may use only the access the Company has granted you. Access is granted per user and per QuickBooks company, and may be changed or revoked at any time without notice. You must not share credentials, use another person's access, or attempt to access companies or data you have not been granted.

4. Read-only use. The Application provides read access to accounting data. You must not attempt to use it to create, modify or delete financial records, or to circumvent any of its controls.

5. Your data and QuickBooks. QuickBooks Online data accessed through the Application belongs to the respective Company-affiliated business that owns the QuickBooks company. Intuit Inc. is not a party to this Agreement. QuickBooks and Intuit are trademarks of Intuit Inc. Your use of QuickBooks itself is governed by Intuit's terms.

6. AI assistants. If you use the Application through an AI assistant, the information you request is processed by that assistant's provider to fulfill your request. You are responsible for using AI assistants in line with Company policy, and for verifying any analysis before relying on it.

7. Monitoring and audit. Every request for company data is logged with your identity, time, the company requested and the outcome. You consent to this logging as a condition of use.

8. Confidentiality. Information obtained through the Application is confidential business information of the Company and its affiliates. Use it only for authorized business purposes.

9. Disclaimer. The Application is provided "as is," without warranties of any kind, express or implied. Information may be incomplete or delayed. It is not tax, legal, accounting or investment advice.

10. Limitation of liability. To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special or consequential damages arising from use of the Application.

11. Termination. This license ends automatically when your authorization is revoked or your relationship with the Company ends. Sections 5 and 7 through 12 survive termination.

12. Governing law. This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules.
